Welcome to Antbobbles Design Society (“Antbobbles,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of our services, website, and any associated platforms (collectively, the “Services”). By accessing or using our Services, you agree to comply with these Terms. If you do not agree, please refrain from using our Services.
1. Definitions
- Client: Any individual or entity using our design and marketing services.
- Services: Includes branding, graphic design, digital marketing, web development, UI/UX design, and other creative solutions provided by Antbobbles.
- Deliverables: Any digital or physical materials produced by Antbobbles as part of the Services.
- Intellectual Property (IP): Includes all copyrights, trademarks, and other proprietary rights related to our designs and services.
2. Scope of Services
2.1 Project Agreement: Each project will have a detailed scope of work, including deliverables, timelines, and payment terms, agreed upon in writing before work begins.
2.2 Revisions & Modifications: Clients are entitled to a fixed number of revisions, as specified in the project agreement. Additional revisions may be charged at an hourly rate.
2.3 Timelines: Antbobbles will make reasonable efforts to complete projects within the agreed timeframe but is not responsible for delays caused by the client’s failure to provide necessary information or approvals.
3. Payments & Pricing
3.1 Payment Structure:
- A 50% advance payment is required before work begins.
- The remaining balance is due upon project completion and before final deliverables are handed over.
3.2 Late Payments: Late payments beyond 7 days may be subject to a late fee of 5% per week.
3.3 Refund Policy: Payments made are non-refundable except in cases where Antbobbles is unable to deliver services as agreed.
4. Intellectual Property Rights
4.1 Ownership: Antbobbles retains full ownership of all intellectual property until full payment is received. Upon full payment, the client receives non-exclusive rights to the deliverables unless otherwise agreed.
4.2 Usage Restrictions:
- Clients may not resell, modify, or reproduce our work without prior written consent.
- Antbobbles retains the right to showcase completed work in its portfolio unless a non-disclosure agreement (NDA) has been signed.
4.3 Third-Party Assets: Any stock images, fonts, or third-party assets used will be subject to their respective licensing terms.
5. Confidentiality & Privacy
5.1 Client Confidentiality: Any client-provided confidential information will not be disclosed to third parties without consent.
5.2 Data Protection: We comply with applicable data protection laws and will not misuse or sell client data.
6. Liability & Indemnification
6.1 Limitation of Liability: Antbobbles shall not be liable for indirect, incidental, or consequential damages arising from our services.
6.2 Client Responsibility: The client is responsible for ensuring the correctness and legality of provided content. Antbobbles is not liable for any legal issues arising from the client’s content.
6.3 Indemnification: The client agrees to indemnify Antbobbles against any claims, damages, or expenses resulting from misuse of the services.
7. Termination & Suspension
7.1 Termination by Client: Clients may terminate services with a 15-day written notice. No refunds will be provided for work already completed.
7.2 Termination by Antbobbles: We reserve the right to terminate services if:
- The client breaches these Terms.
- The client engages in unethical or illegal activities.
8. Dispute Resolution
8.1 Governing Law: These Terms are governed by the laws of [Insert Jurisdiction].
8.2 Dispute Handling: Any disputes will first be attempted to be resolved amicably. If not resolved, they shall be settled through arbitration in [Insert City], with both parties sharing arbitration costs.
